Discovery in a Wall Street Journal op-ed published as the deal faces a major legal delay. Emanuel criticized an antitrust challenge brought by 12 state attorneys general, calling the case “trash” and arguing that regulators are misreading competition in the modern entertainment business.

According to Deadline, the merger had once been expected to close during the summer but is now in limbo. Paramount has agreed not to complete the transaction before June 1, 2027, unless it first wins a favorable ruling. The delay followed indications that a judge was not persuaded by Paramount’s defense at this stage. Deadline also notes that the postponement triggers a self-imposed ticking fee of $650 million per quarter while the deal remains unfinished.

Emanuel’s argument, as described by Deadline, is that the lawsuit defines competition too narrowly by focusing on theatrical movie releasing and cable networks while discounting rivals such as Netflix, Amazon MGM, Lionsgate, A24, YouTube, video games and broader streaming options. The state attorneys general contend the transaction would reduce competition by combining two major studios and increasing concentration in cable networks.

Deadline adds important context about Emanuel’s interests in the matter: TKO’s UFC signed a $7.7 billion rights deal with Paramount under David Ellison’s ownership, and Emanuel remains executive chair of WME Group, parent of the major talent agency WME. Emanuel described himself as a lifelong Democrat but argued antitrust enforcement should not be used for political disputes.
