US judge orders pause on Paramount–Warner Bros merger

Al Jazeera, with Reuters, reports that a federal judge in California has temporarily halted Paramount Skydance’s planned acquisition of Warner Bros Discovery while a challenge from 12 states moves forward. US District Judge Araceli Martinez-Olguin issued the pause after a coalition led by California sued to block the transaction, giving the states 14 days to present arguments on the substance of their case. A hearing on the request is set for August 3, and a final decision could take months.

The states allege the merger would weaken competition, reduce the range of content available to audiences and trigger large-scale job losses. Warner Bros Discovery owns major entertainment and news assets including New Line Cinema and CNN, while the deal would also place CNN and CBS News under the same corporate umbrella, a point that has drawn scrutiny from media observers and political figures.

The delay could be costly for Paramount. Al Jazeera reports that, under the merger financing terms, Paramount would owe a $650m quarterly ticking fee beginning September 30 if the transaction remains delayed. The agreement also includes a 25-cent-per-share fee, estimated in the article at about $7m a day.

The case comes amid broader concern in Hollywood and Washington about consolidation in film, television and news. The Writers Guild of America also filed a separate lawsuit last week seeking to stop the merger, arguing it would further reduce competition in an already concentrated industry. Paramount Skydance did not respond to Al Jazeera’s request for comment. The article says Paramount Skydance shares initially fell after the order but recovered by midday, while Warner Bros Discovery remained lower.
