A US federal judge has approved a settlement that clears Paramount to complete its $110 billion acquisition of Warner Bros., following a legal challenge by a coalition of 12 states. According to Al Jazeera, US District Court Judge Araceli Martinez-Olguin signed off on the agreement on Wednesday, calling it a fair and reasonable way to address the merger’s competitive concerns.

The states, led by California, had sought to block the deal over fears it would reduce competition in entertainment and television. The settlement, reached earlier this month, ends that lawsuit and places conditions on the combined company for five years. Those terms include a commitment to release 30 films a year in the United States and to keep negotiations involving Warner-owned cable channels separate from Paramount’s own channel deals.

The agreement also creates a five-member panel intended to protect editorial independence at CNN and CBS, two major news brands that would sit inside the enlarged company. The case has drawn wider scrutiny because of the scale of the merger and the influence of Paramount chief David Ellison, whose family ties and political connections have been part of broader criticism of media consolidation.

The transaction is among the largest media mergers ever proposed and has raised questions about how much control one company should have over news, film and television distribution. Al Jazeera reported that Paramount had already cleared a separate Trump administration review in June and won the bidding battle for Warner Bros earlier this year.
