CNBC reported that Shein has disclosed an investigation by the U.S. Federal Trade Commission into its American business in documents tied to the fast-fashion company’s planned initial public offering in Hong Kong. The filing did not identify the conduct under review, and CNBC said the disclosure appears to be the first public acknowledgement of the FTC probe.
According to CNBC, Shein told Hong Kong exchange authorities that it is cooperating with the FTC, but cannot forecast the investigation’s outcome or timing. The company also warned in the filing that a settlement or other resolution could require substantial payments and affect its financial condition and operating results. The FTC declined to comment to CNBC, and Shein did not respond to CNBC’s request for more details.
CNBC noted that the FTC is the main U.S. consumer protection regulator and has investigated companies over issues such as hidden fees, pricing claims, refund and shipping practices, review suppression, privacy and data handling, and so-called “dark patterns.” The article said Shein’s app uses tactics such as flash sales, gamified discounts and countdown timers, while noting the filing did not say whether any of those practices are part of the inquiry.
The disclosure comes as Shein prepares for a Hong Kong listing after earlier efforts to go public in the U.S. and London met political and regulatory headwinds. CNBC reported that the Hong Kong IPO has been approved, though the timing of trading remains unclear. The investigation matters because it adds a regulatory risk for Shein as investors assess the company ahead of its market debut.
