Deadline reported that the proposed $110 billion combination of Paramount and Warner Bros. Discovery hit a new delay after Paramount agreed not to close the transaction before June 1, 2027, or until a court rules on the merits of an antitrust challenge, whichever happens first. The lawsuit is being pursued by 12 state attorneys general, with merger opponents including the Writers Guild of America also pressing their case.

California Attorney General Rob Bonta welcomed the agreement, saying the state remains focused on proving the deal should be blocked. Activists on a Zoom briefing described the delay as significant but not a final victory. WGA West secretary-treasurer Peter Murrieta argued the merger could hurt writers’ pay and reduce film and television output, while Deadline noted that Paramount disputes claims the transaction would damage Hollywood workers and has characterized the deal as beneficial to the industry.

The financial reaction was negative. Deadline said Paramount shares touched a 52-week low and Warner Bros. Discovery stock also weakened. Paul Nary, a Wharton management professor and mergers specialist, pointed to costs tied to the delay, including a $7.2 million daily ticking fee payable to WBD shareholders if the deal has not closed by Sept. 30 and a $7 billion breakup fee if it is abandoned.

Legal observers told Deadline the agreement avoids the next preliminary-injunction phase and gives Paramount a chance to reshape its arguments for trial. The delay matters because it prolongs uncertainty around a major Hollywood consolidation effort, leaving both companies, their employees, investors and industry unions waiting for a court fight that could extend well beyond the original deal timetable.
