NBC News reported that Paramount Skydance has agreed to pause its planned merger with Warner Bros. Discovery until June 1, 2027, unless a federal judge rules earlier on an antitrust challenge brought by a group of state attorneys general. The agreement, disclosed in an 11-page court filing Friday, extends a temporary halt ordered this week by Judge Araceli Martínez-Olguín of the U.S. District Court for the Northern District of California.

The proposed $110 billion combination would bring together Paramount Pictures and Warner Bros. Pictures, the Paramount+ and HBO Max streaming services, and CBS News and CNN under David Ellison’s leadership. A dozen Democratic attorneys general, led by California Attorney General Rob Bonta, sued on July 13 to block the deal, arguing it would reduce competition in parts of the film and cable distribution markets and violate the Clayton Antitrust Act.

According to NBC News, Paramount disputes the states’ case, calling the challenge weak and saying the delay gives the company a clear route to trial. The company has said the transaction has already received Justice Department approval and clearances in several foreign jurisdictions, including Australia, China and the European Union. NBC also reported that Paramount shares fell more than 3% after the court filing became public.

The delay matters because the merger would be one of the most significant consolidations in modern entertainment, affecting studios, streaming, cable channels and news assets. NBC noted that the deal has divided Hollywood, with thousands of creative workers previously signing an open letter warning about consolidation, while the Writers Guild of America has filed a separate antitrust lawsuit.
