Paramount agrees to pause Warner Bros deal while court case plays out

Al Jazeera reports that Paramount Skydance has consented to put its planned $110bn purchase of Warner Bros Discovery on hold while a federal court considers a legal challenge from a group of US states. The pause was filed in court on Friday, July 24, 2026, and follows a temporary restraining order issued days earlier by US District Judge Araceli Martinez-Olguin.
According to the report, 12 states led by California sued on July 13 to block the transaction, arguing it would reduce competition in Hollywood and limit consumer options, including for moviegoers and cable customers. New York Attorney General Letitia James, one of the officials challenging the deal, described the halt as important to protecting the film and television sectors. Paramount has rejected the claims as without merit and said it intends to defend the merger.
The companies agreed to keep the deal paused until five days after the judge rules on the substance of the case, or until June 1, 2027, whichever comes first. Al Jazeera says the delay could become costly for Paramount Skydance: it may owe about $7m per day in fees to Warner Bros shareholders if the merger is not completed by September 30, with potential costs reaching as much as $1.7bn if the delay lasts until the June deadline.
The case matters because the proposed combination would reshape major US entertainment and news assets. Al Jazeera notes concerns that Warner Bros Discovery’s CNN would come under the same corporate umbrella as Paramount’s CBS, intensifying scrutiny over media concentration and editorial influence.
