Nedbank takes control of NCBA in East African expansion drive

What the report says
South Africa’s Nedbank Group has completed the purchase of a 66% controlling stake in NCBA Group PLC, a move that gives the lender a stronger base in East Africa. The Independent Uganda reported that the transaction was announced on October 19, 2026, and became effective after regulatory approvals. NCBA will now operate as a subsidiary of Nedbank, although it will remain listed on the Nairobi Securities Exchange, where public shareholders keep the remaining 34%.
The deal connects two banking groups with operations across multiple African markets. NCBA has a footprint in Kenya, Uganda, Tanzania, Rwanda, Ivory Coast and Ghana, while Nedbank is headquartered in South Africa and also operates in other regional and offshore financial centres. Nedbank said the investment fits its broader African growth strategy, with Kenya serving as a gateway to East Africa because of its financial sector, capital markets and technology ecosystem.
NCBA and Nedbank both framed the transaction as a way to expand services for businesses and investors that operate across borders. According to the report, NCBA expects its brand, headquarters in Nairobi, local leadership and customer-facing model to stay in place, with branches, digital channels and day-to-day banking arrangements continuing as before.
The newspaper also said shareholder demand for the offer was strong, with applications exceeding the targeted stake before being scaled back proportionately. NCBA shares were due to be suspended temporarily to allow reconciliation of the register, and the transfer process was scheduled to proceed in November. The development matters because it reflects continued consolidation in African banking and could influence cross-border finance, trade support and investment services in the region.
