What the report says

AllAfrica, citing Daba Finance, reports that Kenyan investors may soon be able to gain exposure to shares in Dangote Petroleum Refinery through Global Depositary Receipts that would trade on the Nairobi Securities Exchange. The proposed structure would let investors buy and sell the receipts in shillings through Kenyan brokers, while the underlying shares would remain listed and held in Nigeria. Renaissance Capital is said to be arranging the mechanism, but it still requires approval from Kenya’s Capital Markets Authority and the NSE before any launch.

The article says the plan could open a local route into what it describes as Africa’s largest IPO. Under the arrangement, Renaissance Capital would collect applications in Kenya, send them to Nigeria and handle custody of the underlying shares. Benefits such as dividends and rights would flow through to GDR holders. The report adds that this would give Kenyan investors easier access than buying Nigerian shares directly, although the exposure would still track the Nigerian company and carry related currency and market risk.

According to the report, Dangote Petroleum Refinery is offering 4.1 billion shares at ₦525 each in an IPO seeking about ₦2.15 trillion, or roughly $1.5 billion. The offer opened on September 14 and closes on October 13. The Kenyan GDR plan would not make the refinery itself a direct NSE listing; instead, it would create a Nairobi-traded security linked to the Nigerian shares.

The article also notes a separate commitment by Aliko Dangote to list the group’s East African refinery in Nairobi at a later stage. That project, in Lamu, is distinct from the Nigerian refinery now raising capital, underscoring Dangote’s broader effort to tap African markets for expansion.
