Uganda’s Capital Markets Authority has cleared participation in Dangote Petroleum Refinery’s initial public offering for Ugandan investors, but only under a restricted marketing arrangement aimed at professional and high-net-worth investors. In a notice dated 6 October, the regulator said SBG Securities Uganda Limited is currently the only intermediary allowed to market and offer the shares locally.

According to Uganda Business News, the offer cannot be promoted to the general public and must be handled through a CMA-licensed intermediary that has received written no-objection from the authority. The CMA also said its approval should not be read as an endorsement of the prospectus or a judgment on the investment’s commercial merits, financial viability or likely performance.

The refinery is part of Aliko Dangote’s industrial group in Lagos, Nigeria, and the prospectus says the company began commercial operations in January 2024. The offer involves 4.1 billion shares at ₦525 each, with trading on the Nigerian Exchange expected from mid-November, and the prospectus indicates proceeds will support expansion plans for the refinery. Uganda Business News noted that the CMA warning also highlights cross-border risks, including foreign exchange, custody and tax issues.

The development matters because it opens a major Nigerian capital-markets transaction to a narrow class of Ugandan investors, while also reflecting growing regional interest in large African listings. More broadly, cross-border offers like this often depend on local regulatory clearance and investor safeguards.
